Current Practice

Mark has practiced as a commercial lawyer for the last 20 years.   Prior to joining AlexanderDorrington in 2007, he held senior roles in large national law firms and corporates.  Most recently, Mark was General Counsel of a financial services group.  He now has a broad ranging practice covering many areas of commercial law.  In particular, Mark's work involves:

  • Advising clients on suitable structures for capital raising, including managed funds, private equity, debt issues and syndicated investments;
  • Financing and securities;
  • Advising clients on compliance with the new Financial Advisers Act;
  • Business acquisitions, including mergers and joint-ventures;
  • Insolvency, including advice on receiverships, liquidations, bankruptcy and voluntary administrations;
  • Negotiation and resolution of commercial disputes (including court action where necessary);
  • Specialist legal opinions, particularly in relation to the Securities Act and its exemptions, insolvency and recoveries;
  • Specialist advice on recovery strategies;
  • Franchising.

Recent experience

  • Specialist securities law adviser on a number of property developments subject to Securities Act exemptions;
  • Primary legal adviser on a major finance company's successful recoveries exercise;
  • Advice to clients on obtaining QFE status;
  • Successful exit of shareholders from business arrangements which have broken down;
  • Advice on design, creation and launch of new funds for a leading fund manager;
  • Primary legal adviser on one of New Zealand's first voluntary administrations;
  • Private offer in New Zealand of equity in a UK technology business;
  • Successful launch of a leading software company in the Australian market;
  • Design and creation of portfolio investment entity (PIE) structures for financial services clients;
  • Creation of a number of new insurance products for the New Zealand market;
  • Strategic advice to receivers on a number of challenging receiverships.

Other interests

Mark provides seminars and lectures to industry groups and other lawyers particularly on his specialist areas of expertise.  He is an editor of a number of commercial publications.  Mark is also a judge and mentor in Auckland University Business School's SPARK programme.  In his spare time he enjoys competitive cycling (whether it be on the track, road or mountains!), kayaking, spending time with his young family and supporting their sporting endeavours.
