Commercial Law

Valuable and practical commercial law advice from lawyers who have also owned businesses.

Our commercial law team is not only amongst the most experienced commercial lawyers in Auckland but own and run businesses as well. They know from firsthand experience, the commercial issues you face as a business owner or manager.

Whatever commercial problems you face, they have probably been there themselves.

This is why having a commercial lawyer who practices in a business environment not just a business law firm is such a huge benefit to you.

Business and investment structures
A key area of commercial law is advising on business structures for selling a business, purchase of a business or suitable structure for investment.  Sometimes clients have a great new business initiative ready to go but need a legal structure built from the ground up.

It’s best to talk to us before you begin any form of discussion or even research into business acquisitions, takeovers or disposal. The implications and results of a wrong move or any document can be extremely costly to remedy.

Ask for advice as a first step.

Commercial documents
Another significant matter in corporate law is drawing up commercial documents
and papers including:-

  • Equity, debt or managed fund prospectus
  • Investment statements
  • Trust deeds
  • Limited partnership structures

These documents are highly complex and must comply with the Securities Act (including regulations and various exemption notices). Failure to do so can result in void securities, significant fines, lost profits plus damage to your reputation.

You must seek expert advice.

Negotiating
Another aspect of commercial law we offer is detailed negotiation on your behalf.

This can be dealing with government regulators on a variety of matters, in particular commercial and financial law reform and Securities Act exemptions.

Or acting on contractual negotiations with private parties on a wide range of matters.

We are based in the central Auckland CBD but we work throughout the country with business owners.  We have clients all over New Zealand and some offshore.

Call (09) 375 2770 for an appointment to discuss your commercial law matters.
